What was the process for adopting these amendments?

The JWN bylaws describe the two-step process that’s followed:

Step 1. The proposed bylaws amendments are presented at a JWN general meeting,
and the members vote whether to deliberate and take action on the amendments at the
next general meeting. This vote requires a simple majority to pass.

The JWN membership passed such a motion at the January 9, 2007 meeting.

The board then provided written notice (e.g., in the meeting announcement and on the
Web site) of the proposed amendments and the date and time of the meeting (i.e.,
February 13 at 7:00 p.m.) where the amendments will be deliberated and voted on.

Step 2.  At the subsequent JWN general meeting (i.e., February 13), the members
deliberated and took final action on the amendments, approving all the proposed
amendments by the required 2/3 majority.


What was discussed and what action was taken at the January 9th meeting?

The co-chairs explained the proposed amendments, answered questions, and lead a
discussion among members. There were two main purposes of this first step:

•  Informing members about the proposed amendments so they were well-prepared to
deliberate and take action on the proposed amendments at the February 13 meeting.

•  Making sure (by the required vote) that there was member support for scheduling
deliberation and action on the amendments at the February 13 meeting.

The two-step process provides for thoroughly notifying and informing the entire
membership before votes are taken.
